Terms of Service

These Terms of Service ("Terms") govern your access to and use of SupplyeFi LLC's ("SupplyeFi," "we," "our," or "us") website, landing pages, booking tools, and AI-powered front office and operational automation systems (collectively, the "Services").

By submitting a form, booking a demo call, signing a service agreement, or otherwise using SupplyeFi's Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Section 01

Acceptance of Terms

These Terms constitute a legally binding agreement between you and SupplyeFi LLC. By accessing our website, submitting your contact information, booking a call, or entering into a service agreement with SupplyeFi, you confirm that:

  • You are at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your business.
  • You have read and understood these Terms and agree to be bound by them.
  • If acting on behalf of a business entity, you have the authority to bind that entity to these Terms.
Section 02

Description of Services

SupplyeFi provides AI-powered front office and operational automation systems for local service businesses. Our Services may include:

  • AI Receptionist — answers inbound calls, qualifies leads, and gathers contact information
  • Automated appointment scheduling and calendar booking
  • Lead qualification and routing workflows
  • SMS, email, and phone follow-up automation sequences
  • CRM integration and pipeline management setup
  • Onboarding, configuration, and ongoing technical support

SupplyeFi serves local service businesses across a wide range of industries including HVAC, plumbing, roofing, pest control, electrical, law firms, insurance agencies, medical and wellness practices, auto repair shops, and more. The specific Services delivered to each Client are defined in the applicable service agreement, statement of work, or onboarding documentation entered into separately. These Terms govern the general use of all SupplyeFi services and platforms.

No Guarantee of Business Results

Important Disclosure — Please Read Carefully

SupplyeFi provides automation technology and AI-assisted communication systems. We do not guarantee any specific business outcomes, including but not limited to:

  • Revenue generated or increased
  • Number of booked appointments
  • Number of closed jobs or signed contracts
  • Conversion rates from leads to paying customers
  • Customer retention or repeat business
  • Return on investment of any kind

Results from using SupplyeFi's Services depend on numerous factors outside of our control, including but not limited to:

  • The quality, responsiveness, and follow-through of the Client's own sales process
  • Market conditions, competition, and local demand for services
  • The Client's pricing, reputation, and capacity to fulfill booked work
  • Customer behavior, preferences, and decision-making
  • The Client's proper configuration and use of the platform as recommended
  • Third-party platform performance, uptime, and reliability
SupplyeFi's Role: We build and operate the system that answers calls, qualifies leads, and books appointments. What happens after a lead is booked — including whether a customer shows up, proceeds to purchase, or becomes a paying client — is determined by the Client's own business operations and customer interactions, which are beyond SupplyeFi's control or responsibility.

Any case studies, testimonials, or examples of results presented by SupplyeFi in marketing materials represent individual experiences and are not guarantees of similar outcomes. Past performance by any client does not guarantee future results for any other client.

Section 04

Client Responsibilities

To use our Services effectively and in compliance with applicable law, you agree to:

  • Provide accurate, complete, and up-to-date business information during onboarding.
  • Ensure all phone numbers, email addresses, and contact lists used within SupplyeFi's platform have been lawfully obtained and that recipients have provided required consent for the applicable communication channel.
  • Comply with all applicable federal, state, and local laws governing telemarketing, SMS marketing, email marketing, and automated communications, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state laws.
  • Not use SupplyeFi's Services to contact individuals who have previously opted out, requested to be placed on a do-not-call list, or otherwise revoked consent.
  • Maintain your own business licenses, insurance, and compliance with industry regulations applicable to your trade.
  • Respond promptly to booked appointments and leads generated through the platform.
  • Keep login credentials and account access secure and not share access with unauthorized individuals.
Legal Compliance Note: SupplyeFi does not provide legal advice regarding your compliance obligations under the TCPA, CAN-SPAM Act, or any other applicable federal, state, or local law. Clients are responsible for consulting their own qualified legal counsel to ensure their use of SupplyeFi's platform complies with all regulations applicable to their business and jurisdiction.
Section 05

Communications Consent

By submitting your information on any SupplyeFi landing page, form, or booking tool, you expressly consent to be contacted by SupplyeFi and/or its clients through the following channels, where permitted by applicable law:

  • Phone calls — including calls from live representatives and AI-assisted or automated systems
  • SMS / text messages — including automated and AI-generated messages
  • Email — including automated follow-up sequences

This consent applies regardless of whether your phone number or email address is listed on any federal, state, or local do-not-call or do-not-contact registry. This consent is voluntary and not a condition of purchase.

You may withdraw consent at any time by replying STOP to any text message, clicking "Unsubscribe" in any email, or contacting us directly. Withdrawal of consent will not affect the lawfulness of any communications made prior to withdrawal.

Mobile & SMS Data: Mobile information and SMS consent data will not be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties under any circumstances. SMS opt-in information is used solely to facilitate the communications you have agreed to receive.
Section 06

AI & Automated Systems Disclosure

SupplyeFi's platform utilizes artificial intelligence (AI), machine learning, and automation technologies to deliver its services. By using our Services, you acknowledge and agree that:

  • Inbound and outbound calls managed through SupplyeFi may be handled in whole or in part by AI voice systems, not human agents.
  • Automated systems may send SMS messages, emails, and other communications on behalf of SupplyeFi or its clients.
  • AI-generated communications are designed to be helpful and accurate, but may not always perfectly represent a human's judgment or nuance.
  • Call recordings and transcripts may be created by automated systems for quality assurance and service improvement purposes.
  • SupplyeFi is not responsible for errors, misunderstandings, or inaccuracies arising from AI-generated communications beyond what is covered in Section 9.
Client Disclosure Obligation: If you deploy SupplyeFi's AI voice system to interact with your own customers on your behalf, you are responsible for ensuring that any required disclosures to those customers about AI-generated calls or automated communications are made in accordance with applicable law in your jurisdiction.
Section 07

Intellectual Property

All content, technology, software, systems, workflows, templates, and materials developed or provided by SupplyeFi — including but not limited to AI prompts, automation scripts, training data, platform configurations, and proprietary processes — remain the exclusive intellectual property of SupplyeFi LLC.

Clients are granted a limited, non-exclusive, non-transferable license to use SupplyeFi's Services during the term of their active service agreement. This license does not convey any ownership rights and may not be sublicensed, sold, or transferred.

Client data (leads, contacts, call recordings, appointment records) generated through the platform remains the property of the Client, subject to the data handling terms described in our Privacy Policy.

Section 08

Payment Terms

Specific pricing, billing schedules, and payment terms are outlined in the applicable service agreement or onboarding documentation. General terms include:

  • Fees are billed as described in your service agreement (monthly, quarterly, or as otherwise specified).
  • All fees are non-refundable unless otherwise explicitly stated in writing in your service agreement.
  • SupplyeFi reserves the right to suspend or terminate Services for non-payment after providing reasonable notice.
  • Pricing is subject to change with reasonable advance notice provided to active clients.
  • Setup fees, if applicable, are due prior to onboarding and are non-refundable once work has commenced.

Any disputes regarding invoices or charges must be raised in writing within 15 days of the invoice date. Failure to raise a dispute within this period constitutes acceptance of the charges.

Section 09

Limitation of Liability

Read This Section Carefully — It Limits SupplyeFi's Legal Liability

To the maximum extent permitted by applicable law, SupplyeFi LLC and its officers, directors, employees, contractors, and agents shall not be liable for:

  • Any indirect, incidental, consequential, special, or punitive damages of any kind
  • Loss of revenue, profits, data, goodwill, or business opportunities
  • Damages resulting from interruptions or failures of third-party platforms, tools, or integrations
  • Damages resulting from AI errors, miscommunications, or automated system failures
  • Damages arising from the Client's failure to follow compliance requirements under applicable law
  • Any business outcomes or results that did not materialize despite use of SupplyeFi's Services

In all cases, SupplyeFi's total cumulative liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by the Client to SupplyeFi in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, SupplyeFi's liability shall be limited to the fullest extent permitted by law.

Section 10

Indemnification

You agree to defend, indemnify, and hold harmless SupplyeFi LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of SupplyeFi's Services in violation of these Terms or applicable law
  • Your failure to obtain required consents from individuals you contact through the platform
  • Any violation of applicable telemarketing, SMS, email marketing, or privacy laws by you or your agents
  • Your business operations, products, or services offered to your customers
  • Any third-party claims arising from communications sent on your behalf through SupplyeFi's platform
Section 11

Termination

Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. In addition, SupplyeFi reserves the right to immediately suspend or terminate your access to the Services, without notice or refund, if:

  • You materially breach these Terms or your service agreement
  • You use SupplyeFi's platform for unlawful purposes or in violation of applicable regulations
  • You engage in abusive, harassing, or fraudulent behavior
  • Continued provision of Services poses a legal or reputational risk to SupplyeFi

Upon termination, your license to use SupplyeFi's Services ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 9, 10, and 12) shall continue in full force and effect.

Section 12

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation by providing written notice of the dispute to the other party.

If the dispute is not resolved within thirty (30) days of written notice, the parties agree that the dispute shall be resolved through binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body, unless otherwise required by applicable law.

These Terms and any disputes arising hereunder shall be governed by the laws of the State of [STATE], without regard to its conflict of law principles. The parties consent to personal jurisdiction in the courts located in [STATE] for any matters not subject to arbitration.

Class Action Waiver: To the extent permitted by law, you agree to resolve disputes with SupplyeFi on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

Section 13

Changes to These Terms

SupplyeFi reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" and "Effective Date" at the top of this page and may provide additional notice via email or within the platform.

Your continued use of SupplyeFi's Services after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of our Services.
